Terms and Conditions of Sale and Delivery for STOK Emballage K/S

1. Validity of Terms
1.1. These terms apply to all orders entered into with STOK Emballage K/S, unless otherwise agreed in writing with the buyer.
2. Offers and Order Confirmations
2.1. Offers become binding only upon the buyer’s receipt of an order confirmation from STOK Emballage K/S.
2.2. If the order confirmation from STOK Emballage K/S does not match the buyer’s order, the buyer must notify STOK Emballage K/S via email no later than three (3) working days after receiving the confirmation. Otherwise, the buyer will be bound by the contents of the order confirmation.
3. Prices, Fees, and Costs
3.1. All prices are stated in Danish kroner, excluding VAT and any other public charges, unless otherwise specified in the offer or order confirmation. The buyer is obliged to accept changes in VAT rates, exchange rates, customs duties, freight rates, raw material prices, or collectively agreed wages up until delivery.
3.2. For products subject to Extended Producer Responsibility (EPR), STOK Emballage K/S will add applicable fees from authorities and organizations at the time of delivery, as well as STOK Emballage K/S’s current administrative costs related to EPR handling.
3.3. If STOK Emballage K/S handles export reimbursement on behalf of the buyer for packaging-related fees, the buyer shall bear all associated costs. STOK Emballage K/S may deduct such costs from the reimbursement amount. The reimbursement process is carried out to the best of STOK Emballage K/S’s ability, without guarantee of a specific outcome or timeframe.
3.4. To fulfill obligations under EPR, the buyer must inform STOK Emballage K/S whether they qualify as a microenterprise, as defined by applicable EPR legislation. This information must be provided when placing an order.
3.5. The buyer is obliged to provide accurate and complete information regarding the matters outlined in clauses 3.3 and 3.4, and any additional information requested by STOK Emballage K/S. If the buyer provides incorrect or incomplete information resulting in losses or costs for STOK Emballage K/S, the buyer shall compensate STOK Emballage K/S for such losses and costs. STOK Emballage K/S is not responsible for verifying the information provided.
4. Delivery
4.1. Unless otherwise stated in the offer or order confirmation, prices are based on "ex works" delivery, according to Incoterms, Ex Works (EXW), and freight costs will be added to the invoice. For orders under DKK 3,000 (excluding VAT), an additional handling fee of DKK 300 + VAT will apply. All orders are subject to an environmental surcharge (VAT applicable).
4.2. For custom orders manufactured according to buyer specifications, STOK Emballage K/S is entitled to deliver and invoice as follows:
Deliveries up to 3,000 units: ±20% deviation
Deliveries above 3,001 units: ±10% deviation
4.3. Delivery within three (3) weeks of the delivery date stated in the order confirmation shall in every respect be considered timely delivery, and such delay shall not entitle the buyer to exercise any remedies for breach of contract against STOK Emballage K/S. In addition, STOK Emballage K/S' time of delivery will be suspended in cases of force majeure, including strike, lockout, fire, water damage, machinery breakdown, power failure, war (domestic or international), raw material shortages, cyberattacks, or other similar delivery difficulties. If such obstacles cannot be overcome or only at disproportionate cost, STOK Emballage K/S reserves the right to cancel the order without liability.
4.4. If a delay is not due to the circumstances specified in clause 4.3, the buyer is, after the delivery deadline has passed, entitled to set a reasonable final deadline of at least seven (7) days. If delivery does not take place by this deadline, the buyer may cancel the order without liability for STOK Emballage K/S.
4.5. In case of a failed delivery attempt, or if delivery has not been possible due to insufficient access to the recipient's premises, the buyer will be invoiced for any costs related to unsuccessful transport, waiting time or redelivery.
4.6. A surcharge applies for reloading to smaller vehicles due to difficult access conditions.
4.7. A road toll surcharge applies to all orders. This surcharge is variable and calculated based on the number of pallet spaces and the specific distribution route.
5. Payment
5.1. Payment is due upon delivery, unless otherwise agreed in writing or stated on the invoice.
5.2. Late payments will incur interest at 1.5% per month from the invoice due date. An additional fee of DKK 250.00 will be charged for printing an interest invoice.
5.3. If STOK Emballage K/S assesses that the buyer’s creditworthiness has deteriorated after order confirmation, STOK Emballage K/S may require, as a condition for fulfilling the order, that the buyer either provides security for the payment of the purchase price or prepay the purchase amount.
6. Retention of Title and Tools
6.1. The goods remain the property of STOK Emballage K/S until full payment has been received.
6.2. Printing plates and tools are stored for one (1) year after their last use.
7. Product Information
7.1. Any technical information, specifications, product information, catalogues, brochures, user manuals, and other technical product data not confirmed in writing in the agreement with the buyer are for guidance only and are non-binding for STOK Emballage K/S.
8. Defects and Complaints
8.1. Any defects discovered or that should reasonably have been discovered during inspection upon delivery, must be reported in writing to STOK Emballage K/S immediately. The buyer must not use or otherwise handle the goods subject to complaint until the issue has been clarified with STOK Emballage K/S.
8.2. Upon receipt, the buyer is responsible for thoroughly inspecting whether the goods conform to the order, including checking for visible damage. Visible damage includes toppled pallets, dents or impact marks on the goods or packaging, and water damage. Such damage must always be noted in the freight documentation.
8.3. In cases of missing packages, acceptance of visibly damaged goods, or delayed delivery, the following must be noted on the freight documents:
That the goods were received later than agreed, including the time of receipt
Any visible damage, with a description of the damage
The vehicle’s registration number
8.4. Additionally, the carrier must sign the freight documents with a legible name as documentation. Where possible, visible damage should be documented with a photo before unloading. The buyer must note on the freight document that the shipment is received subject to reservation.
8.5. If the buyer does not notify STOK Emballage K/S of a defect within three (3) months from the delivery date, the buyer forfeits the right to claim the defect.
8.6. If STOK Emballage K/S is liable for a defect, STOK Emballage K/S will, at its discretion, remedy the defect either by repair or replacement. Such remedy will be carried out as soon as STOK Emballage K/S has received the returned goods from the buyer. Beyond this, the buyer may not raise any claims against STOK Emballage K/S for defects, regardless of any loss incurred due to the defect.
9. Return Policy
9.1. STOK Emballage K/S only accepts returns of items from the standard product range. Other items are non-returnable. The standard product range is defined as established, stocked items. Items listed in the catalogue but not kept in stock are not considered part of the standard range. The following items and categories are excluded from return:

9.2. For returns of standard items, the buyer bears the cost of return freight. A return fee of 15% of the purchase price applies, with a minimum of DKK 500. The return policy is valid for 14 days. Returns are only accepted pursuant to a prior written agreement with STOK Emballage K/S.
9.3. Packaging and condition of returned goods:
The return policy is only valid if the goods are returned in the same condition and quantity, and if the return is agreed upon in writing. The right of return lapses if the goods are handled, stored, or used in a way that diminishes their resale value. Until pickup by STOK Emballage K/S’s carrier, the goods must not be stored outdoors, as this is considered to reduce their value.
10. Liability
10.1. Any liability of STOK Emballage K/S for the buyer’s direct losses shall not exceed the price of the item concerned (excluding VAT, duties, fees, and delivery or administrative costs).
10.2. STOK Emballage K/S is not liable for operational losses, loss of time, loss of profit, or other indirect losses.
10.3. If STOK Emballage K/S is held liable to a third party due to circumstances attributable to the buyer, the buyer shall indemnify STOK Emballage K/S. Notwithstanding clause 12 (Disputes and Governing Law), the buyer is also obliged to accept being sued in the same court handling the claim against STOK Emballage K/S.
11. Product Liability
11.1. STOK Emballage K/S is liable for personal injury and property damage caused by defects in the delivered goods, to the extent such liability is governed by applicable product liability legislation. However, STOK Emballage K/S is not liable for damage to real property or movable property intended for commercial use. Furthermore, STOK Emballage K/S is not liable for operational losses, loss of profit, or other indirect losses arising from product liability.
12. Disputes and Governing Law
12.1. Any disputes between the buyer and STOK Emballage K/S that cannot be resolved through negotiation shall be governed by Danish law and settled by the District Court of Odense.
